1. Introduction

Welcome to embolo.in ("embolo", "we", "our", "us"). These Terms of Service ("Terms") govern your use of our website located at www.embolo.in (the "Service"), which now operates as a B2B delivery and logistics SaaS platform for wholesale procurement and distribution of medicines and healthcare products.

Please read these Terms carefully. By accessing or using any part of the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

2. Definitions

  • Buyer: A business customer (e.g., pharmacy, hospital, clinic) registered on embolo to place orders.
  • Vendor: A licensed wholesaler, or distributor listed on embolo to fulfill orders.
  • Products: Medicines, healthcare supplies, and related items available through the platform.
  • Order: A purchase request submitted by a Buyer for one or more Products.

3. Acceptance of Terms

By registering as a Buyer or Vendor and using the Service, you confirm that you accept these Terms and agree to comply with them in full.

4. Platform Role & Disclaimer

embolo is a technology and logistics provider that connects Buyers to licensed Vendors.

  • Buyer Due Diligence: Buyers should verify Vendor credentials, licenses, and Product certifications independently.
  • No Manufacture or Stock Holding: We do not manufacture, own, or store Products; all inventory is held by Vendors.
  • No Payment Facilitation: embolo does not process or handle payments. All payment arrangements—including terms, methods, invoicing, and settlement—are managed directly between Buyers and Vendors.
  • Delivery & Tracking: We provide order placement capabilities, real‑time tracking, and delivery coordination.
  • Vendor Responsibility: Each Vendor is solely responsible for regulatory compliance, product authenticity, and quality.

5. Account Registration & Responsibilities

Buyer Accounts

  • Provide accurate business information (e.g., GSTIN, address, KYC documents).
  • Maintain confidentiality of login credentials; responsible for all account activity.

Vendor Accounts

  • Submit valid pharmaceutical licenses, GST registration, and banking details.
  • Ensure Product compliance with applicable laws and regulations.

6. Order Placement & Confirmation

  • Buyers submit Orders via the platform specifying Products, quantities, and delivery details.
  • Vendors review and accept or reject Orders within the prescribed timeframe.

7. Delivery & Risk Transfer

  • Vendors arrange pickup and handover to embolo's logistics network or third‑party carriers.
  • Delivery timelines and fees are defined per Order.
  • Title and risk transfer to the Buyer upon handover to the logistics partner.

8. Returns, Cancellations & Credits

  • Returns accepted only for damaged, defective, or incorrect Products, reported within 48 hours of delivery.
  • Vendors inspect returned items and, if validated, issue credit notes or replacements.
  • Cancellations must be requested before shipment; fees may apply as per Vendor policy.

9. Prohibited Activities

Users must not use the Service to:

  • Violate any laws or regulations.
  • Upload falsified or expired documents.
  • Resell or divert Products without authorization.
  • Compromise system integrity or engage in unauthorized data scraping.

10. Intellectual Property

All content, trademarks, logos, software, and materials on embolo are the property of embolo or its licensors. Unauthorized use is prohibited.

11. Confidentiality & Data Protection

  • Parties agree to keep non‑public business information confidential.
  • We collect and process personal and business data under our Privacy Policy; usage implies consent.

12. Limitation of Liability

To the maximum extent permitted by law, embolo and its affiliates are not liable for:

  • Indirect, incidental, or consequential damages.
  • Loss of profits, data, or business interruption.
  • Actions or omissions of Vendors or logistics partners.

13. Termination

embolo may suspend or terminate any account for violations of these Terms or applicable laws, at its discretion.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts of Punjab, India.

15. Changes to These Terms

We may update these Terms at any time with notice on our website. Continued use after updates implies acceptance.
